1. Acceptance of Terms
These Terms of Service (the "Terms") govern your access to and use of the NODE SEO+AI service (the "Service"), provided by Group Martin Limited, a company incorporated in Hong Kong ("we", "us", "the Company"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Definitions
- "User" means any individual or entity using the Service.
- "Account" means the personal space created upon registration.
- "Content" means any data, text, graphics, code or other material processed via the Service.
- "Subscription" means the access plan chosen by the User.
3. Eligibility & Registration
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a contract. You agree to provide accurate, complete and up-to-date information when registering, and to keep that information current.
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring on your Account.
4. Subscriptions, Pricing & Billing
Subscriptions are billed monthly or annually based on the plan selected. Fees are exclusive of applicable taxes and charged in advance via our PCI-DSS-certified payment providers (Stripe, PayPal).
You authorize automatic renewal at each billing cycle. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current period. No refunds are given for partial periods, except as required by mandatory consumer-protection law (notably the 14-day legal withdrawal period for EU consumers).
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or third-party right (including intellectual property and personal data rights).
- Generate spam, fraudulent or misleading content.
- Compromise the security or integrity of the Service or any third-party system.
- Reverse engineer, decompile or attempt to extract the source code, except where law expressly permits.
- Resell, sublicense or transfer the Service without our prior written consent.
- Use automated agents to circumvent rate limits or anti-abuse mechanisms.
6. User Content
You retain ownership of any content you submit to the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, process and transmit that content solely as necessary to provide the Service.
You warrant that you hold all necessary rights to the content you submit and that it does not infringe any third-party right.
7. Intellectual Property
The Service, including the underlying software, trademarks, logos, design and documentation, is the exclusive property of Group Martin Limited or its licensors. No transfer of intellectual property rights occurs as a result of these Terms.
8. Service Availability
We make reasonable efforts to provide the Service with high availability but cannot guarantee uninterrupted operation. Maintenance, updates and circumstances beyond our control may cause temporary interruptions. We are not liable for unavailability less than 0.5% per month measured cumulatively.
9. Suspension & Termination
We may suspend or terminate your Account, with or without notice, in case of: (i) breach of these Terms, (ii) non-payment, (iii) fraudulent or harmful behavior, (iv) judicial or administrative requirement.
You may close your Account at any time from your dashboard. Termination does not entitle you to a refund of fees already paid.
10. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability under these Terms is limited to the amount of fees paid by you in the 12 months preceding the event giving rise to liability.
We are not liable for indirect, special, incidental or consequential damages, including loss of profit, revenue, data or business opportunity.
Nothing in these Terms excludes liability for fraud, gross negligence, willful misconduct or any liability that cannot lawfully be limited.
11. Indemnification
You agree to indemnify, defend and hold harmless Group Martin Limited, its directors, employees and agents against any claim, damage, loss or expense (including reasonable legal fees) arising from: (i) your use of the Service in violation of these Terms, (ii) your content, (iii) your breach of any third-party right.
12. Modification of the Terms
We may modify these Terms to reflect legal, technical or commercial changes. Substantial changes will be notified by email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Hong Kong, excluding its conflict-of-law rules. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, except where mandatory consumer law grants the consumer the right to bring proceedings in their place of residence.
